SWH MARKETING DEALERSHIP PROGRAM

INTRODUCTION

Under the SWH MARKETING Dealership Program, the Firm assigns the responsibility of product delivery within a designated local area to an authorized dealer, based on the dealer’s location and operational capacity.

The dealer is responsible for delivering SWH MARKETING customer orders within the assigned/approved local area and ensuring that orders are delivered to customers within the prescribed delivery timeline.

Free Dealership Account

SWH MARKETING does not charge any security deposit or registration fee for the Dealership Account. The Dealership Account is completely free, subject to the applicable terms and conditions of the Firm.

SWH MARKETING may receive customer orders through both Cash on Delivery (COD) and Prepaid payment methods.

Through its software system, SWH MARKETING provides the dealer with the necessary order information. The dealer is then responsible for delivering the respective product to the customer within 24–48 hours, along with the applicable invoice/bill.

BENEFITS OF THE DEALERSHIP

1. Delivery Commission

The dealer will receive a delivery commission of ₹150 per successfully delivered order, where the applicable product/order value is ₹3,000.

2. Daily Payout

The applicable delivery commission will be transferred to the dealer's registered bank account as per the Firm's daily payout schedule, generally at 10:00 AM.

Applicable taxes, including TDS wherever required under applicable law, will be deducted from the payout. The stated 5% TDS will apply only where legally applicable.

3. Lifetime Dealership

The dealership is intended to remain valid on a lifetime basis, subject to compliance with the Firm's applicable terms, policies, and operational requirements.

In the event that the registered dealer is unable or unwilling to continue the dealership, the dealership may be transferred to an eligible family member, subject to prior notification and approval by SWH MARKETING.

The dealer must inform SWH MARKETING in advance regarding any proposed transfer or change in the registered dealer.

DEALER'S RESPONSIBILITIES

The dealer shall be responsible for the following:

1. Timely Delivery

The dealer must ensure that customer orders received through the SWH MARKETING system are delivered within the prescribed delivery timeline.

2. Stock Availability

The dealer should maintain adequate stock to fulfill customer orders. In case of stock shortages or operational requirements, the dealer should immediately contact SWH MARKETING for assistance.

3. Local Area Support

The dealer may provide reasonable local support to SWH MARKETING for marketing and promotional activities within the designated distribution area.

4. Order Handling

The dealer must handle customer orders carefully and ensure that the correct product, quantity, invoice/bill, and other applicable documents are delivered to the customer.

5. Customer Service

The dealer is expected to communicate professionally with customers and promptly report any delivery-related issue, complaint, return, or other concern to SWH MARKETING.

CANCELLATION & TERMINATION POLICY

The dealership cancellation and termination process may operate in the following circumstances:

1. Voluntary Cancellation or Transfer

If a dealer does not wish to continue operating the dealership and does not wish to transfer it to an eligible family member, the dealer must:

  • Inform SWH MARKETING at least 30 days in advance.

  • Complete the settlement of pending orders, stock, payments, and other applicable matters.

  • Return or transfer any applicable stock as instructed by SWH MARKETING.

  • Complete the required dealership closure/transfer formalities.

If the dealer wishes to transfer the dealership to an eligible family member, prior written notification must be provided to SWH MARKETING, and the transfer will be subject to the Firm's approval and applicable requirements.

2. Termination Due to Non-Compliance

SWH MARKETING reserves the right to suspend or terminate a Dealership Account if the dealer:

  • Repeatedly fails to deliver customer orders within the prescribed timeline.

  • Neglects assigned delivery responsibilities.

  • Provides incorrect, incomplete, or misleading information.

  • Misuses the dealership account or software.

  • Engages in unauthorized activities on behalf of SWH MARKETING.

  • Causes financial, operational, or reputational loss to the Firm.

  • Violates the applicable terms, policies, or instructions of SWH MARKETING.

In serious cases involving fraud, misconduct, misuse of customer information, or material business loss, SWH MARKETING may take appropriate action, including suspension or termination of the dealership, without prior notice where legally permissible.

Where any loss is directly attributable to the dealer's proven negligence, misconduct, or violation of the applicable terms, SWH MARKETING may seek recovery or settlement in accordance with applicable law.
